Terms of Service

Last updated: [date of publication]

Draft. This text hasn't been reviewed by a lawyer yet and doesn't apply until it has. Details in [brackets] are still to be filled in.

1. Who we are

These terms are between you and [Company name], [address], [register and number], [VAT ID] (“we”). Contact: [email address].

2. What these terms cover

  • This website (fleeq.net/wharfbase).
  • The account portal (license.fleeq.net).
  • The license server (license.fleeq.net/v1).
  • Buying licenses: Pro and Team subscriptions, and the Founder license.

The Wharfbase software itself is licensed under the Elastic License 2.0 and the terms for premium modules. Where these terms and the software license differ about the software, the software license applies.

Using the Community edition needs no account and no agreement with us beyond the software license.

3. Licenses

  • What a license is: a signed key that unlocks a paid plan’s limits and features on the number of Wharfbase instances the plan allows. Pro and Founder allow one instance, Team three.
  • Who may use it: the key is for you, or your organization, and its staff. Don’t share it outside your organization, and don’t resell it.
  • Daily check: online keys check in with the license server once a day (what is sent). If the server can’t be reached, the plan keeps working for 14 days.
  • Trial: one 14-day Pro trial per email address and per instance. It ends by itself, with no payment details asked.
  • Founder: a one-time purchase of Pro’s limits and features that doesn’t renew. Only the first 500 are sold.

4. Buying and paying

  • Payment: handled by Stripe. The price and the taxes are shown before you pay.
  • Subscriptions:
    • They renew each month or year until cancelled. Cancel any time from your account page.
    • The plan stays active to the end of the period you paid for.
  • Unpaid renewals: if a renewal can’t be charged, we try again for a while. After that the license ends, and the instance goes back to the Community plan; no data is deleted.
  • Price changes apply from your next renewal, and we tell you at least 30 days before.

5. Refunds and your right of withdrawal

See the refund policy. If you buy as a consumer in the EU, you also have the statutory right of withdrawal; the refund policy explains how it applies to licenses.

6. Fair use

Don’t:

  • get around or disable license checks;
  • probe or overload the license server, the portal or this website;
  • use our services to break the law.

We may suspend access to these services, or revoke a license, for a serious breach. We’ll tell you first, unless the law or the urgency of the situation prevents it.

7. Availability

We run the license server and the portal with care, but without a guaranteed availability unless we agree one with you in writing. The 14-day grace period exists so that an outage on our side doesn’t stop your instances.

8. Warranty and liability

[To be adapted to the governing law by counsel.]

  • The software is provided under its license, which excludes warranties as far as the law allows.
  • Consumers keep their statutory rights.
  • Unlimited liability: for intent and gross negligence, for injury to life, body or health, and under product liability law.
  • Otherwise, we are liable only for breaches of essential obligations. That liability is limited to the damage typical and foreseeable when the contract was made, and in total to what you paid us in the 12 months before the event.

9. Changes to these terms

We tell you about changes by email at least 30 days before they apply to your current subscription. If you don’t agree, cancel before then; you keep the plan to the end of the paid period.

10. Law and disputes

[Governing law and place of jurisdiction, and the consumer dispute resolution statement required where we are established.] Consumers keep the protection of the law of the country where they live.
